1. Acceptance of Terms
By accessing or using the Vynth platform (“Platform”), operated by Vynth LLC (“Vynth,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Platform.
These Terms constitute a legally binding agreement between you and Vynth LLC. By creating an account, subscribing to a plan, or otherwise using any Vynth service, you represent that you are at least 18 years old and have the legal authority to enter into this agreement. If you are using Vynth on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
Your continued use of the Platform after any modifications to these Terms constitutes acceptance of those changes. We will notify you of material changes via email or platform notification.
2. Description of Service
Vynth is a business intelligence and automation platform that provides AI-powered tools to help businesses manage their online presence, customer interactions, and operational workflows. Our services include, but are not limited to:
- Business Profile (“Business Brain”): A structured knowledge base that powers AI interactions on your behalf
- AI Chat Agents: Intelligent chatbots deployed on client websites to handle customer inquiries, provide information, and facilitate actions
- AI Voice Agents: Voice-enabled AI agents capable of handling inbound and outbound phone calls on behalf of your business
- Website Hosting: Optional managed website hosting for clients who choose to have Vynth build and host their business website
- Client Portal: A dashboard for managing your Business Profile, viewing analytics, and configuring platform features
- Blog & Content Management: Tools for creating, managing, and publishing business blog content
- Scheduling Integration: Calendar and appointment booking powered by Cal.com integration
- SMS & Communication: Automated and manual messaging capabilities through integrated communication channels
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.
3. Account Registration & Security
To use the Platform, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account, whether or not authorized by you
- Notifying us immediately at contact@vynth.ai if you suspect unauthorized access to your account
- Ensuring that all information provided during registration and throughout your use of the Platform remains accurate and up to date
You may not share your account credentials with third parties, create multiple accounts for the same business without authorization, or use another person’s account without permission. Vynth reserves the right to suspend or terminate accounts that violate these requirements.
4. Subscription Plans, Pricing & Billing
a) Plans & Pricing
Vynth offers multiple subscription tiers, each with different features and usage limits. Current pricing and plan details are available on our pricing page. We reserve the right to change pricing with 30 days’ written notice. Existing subscribers will be grandfathered into their current pricing for the remainder of their billing cycle.
b) Billing
All payments are processed securely through Stripe. By subscribing, you authorize Vynth to charge your payment method on a recurring monthly basis. You are responsible for keeping your payment information current.
c) Refund Policy
Monthly subscriptions are non-refundable but will remain active through the end of the current billing period. Refund requests should be submitted to contact@vynth.ai. Vynth reserves the right to deny refund requests in cases of abuse or violation of these Terms.
d) Failed Payments
If a payment fails, we will attempt to process the charge up to three additional times over a 10-day period. If payment cannot be collected, your account may be downgraded or suspended until the balance is resolved.
5. Service Tiers & Feature Availability
Not all features are available on all plans. Feature availability is determined by your subscription tier and may change as we develop the Platform. Specific features such as AI voice agents, advanced analytics, custom integrations, and priority support may require higher-tier plans or additional fees.
Usage limits (such as the number of AI conversations, voice minutes, or SMS messages) are defined per plan. Exceeding your plan’s limits may result in temporary feature restrictions, overage charges, or a recommendation to upgrade. We will notify you before applying any overage charges.
6. Website Hosting & Ownership
If Vynth builds and hosts a website for your business as part of your subscription:
- Content Ownership: You retain full ownership of all text, images, logos, and other content you provide to us for use on your website
- Design & Code: The website design templates, custom code, and underlying technology created by Vynth remain the intellectual property of Vynth LLC. You receive a non-exclusive license to use the website design for the duration of your subscription
- Domain: If you provide your own domain, you retain full ownership. If Vynth registers a domain on your behalf, ownership will be transferred to you upon request at no additional cost
- Portability: Upon termination, you may export your content. Custom website code and design are not transferable unless separately negotiated
- Uptime: Vynth makes reasonable efforts to maintain website availability but does not guarantee 100% uptime. Websites are hosted on Google Cloud Platform infrastructure
7. Business Brain Data & Ownership
Your Business Profile (“Business Brain”) is the structured dataset you create within Vynth to power AI interactions. Regarding this data:
- Your Data, Your Ownership: All data you input into your Business Brain remains your intellectual property. Vynth does not claim ownership of your business information
- License to Operate: By using the Platform, you grant Vynth a limited, non-exclusive license to use your Business Brain data solely for the purpose of delivering our services (e.g., powering AI chat and voice agents on your behalf)
- No Training: We do not use your Business Brain data to train AI models, improve our algorithms, or for any purpose other than delivering the services you have subscribed to
- Export Rights: You may export your Business Brain data at any time through the Client Portal. We support data portability and will assist with data export upon request
- Deletion: Upon account termination, your Business Brain data will be permanently deleted within 30 days unless you request an export or legal requirements mandate retention
8. AI-Generated Content Disclaimer
Vynth uses artificial intelligence, including Anthropic’s Claude API and Rosie AI, to generate responses and handle interactions on behalf of your business. You acknowledge and agree to the following:
- No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, or incomplete information. Vynth does not warrant the accuracy, completeness, or reliability of any AI-generated output
- Not Professional Advice: AI responses do not constitute legal, medical, financial, or other professional advice. You are responsible for ensuring that AI interactions with your customers are appropriate for your industry and comply with applicable regulations
- Human Oversight Required: You are responsible for reviewing and monitoring AI interactions with your customers. Vynth recommends regular review of chat transcripts and voice recordings to ensure quality and accuracy
- Content Responsibility: You are ultimately responsible for the information your Business Brain provides to the AI and, by extension, the responses generated for your customers. Inaccurate Business Brain data will lead to inaccurate AI responses
- AI Disclosure: You agree to inform your customers that they may be interacting with an AI-powered system, as required by applicable law
9. Telephone Consumer Protection Act (TCPA) Compliance
Vynth provides AI-powered voice calling and SMS capabilities. These features are subject to strict federal and state regulations, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state telecommunications laws. By using these features, you agree to the following:
a) Your Responsibilities
- You must obtain proper prior express written consent before using Vynth’s voice or SMS features to contact any individual, as required by the TCPA and applicable state laws
- You must maintain records of all consent obtained and make such records available upon request
- You must honor all opt-out and do-not-call requests promptly (within the timeframes required by law)
- You must comply with all applicable federal, state, and local laws regarding automated calling, text messaging, and voice recording, including two-party consent states for call recording
- You are solely responsible for maintaining an internal do-not-call list and scrubbing your contact lists against the National Do Not Call Registry where applicable
b) Recording Disclosure
If you enable call recording features, you are solely responsible for providing appropriate disclosure and obtaining consent from all parties on the call, in compliance with applicable federal and state wiretapping and recording consent laws. Vynth provides tools to facilitate disclosure but does not guarantee compliance—this is your responsibility.
c) Indemnification for TCPA Violations
You agree to indemnify, defend, and hold harmless Vynth LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to your use of Vynth’s voice or SMS features, including but not limited to any TCPA violations, state telemarketing law violations, or recording consent violations. This indemnification obligation survives termination of your account and these Terms.
10. Acceptable Use Policy
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party rights
- Send spam, unsolicited messages, or engage in any form of unauthorized marketing
- Transmit malicious code, viruses, or any material designed to disrupt or damage the Platform
- Attempt to gain unauthorized access to Vynth systems, other user accounts, or connected third-party services
- Use the Platform for any illegal, fraudulent, or deceptive purpose
- Scrape, harvest, or collect data from the Platform without authorization
- Impersonate any person, business, or entity
- Use AI features to generate content that is defamatory, harassing, threatening, or promotes violence
- Circumvent or attempt to circumvent usage limits, billing mechanisms, or access controls
- Resell, sublicense, or redistribute access to the Platform without written authorization from Vynth
Vynth reserves the right to investigate and take appropriate action against anyone who violates this policy, including account suspension or termination, reporting to law enforcement, and pursuing civil remedies.
11. Uptime & Service Availability
Vynth strives to maintain high availability of the Platform but does not guarantee uninterrupted service. We do not offer a formal Service Level Agreement (SLA) at this time. Scheduled maintenance will be communicated in advance when possible. Vynth is not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control, including but not limited to third-party service outages, internet disruptions, natural disasters, or force majeure events.
12. Third-Party Services & Integrations
The Platform integrates with and relies on third-party services to deliver its functionality. These include, but are not limited to: Anthropic (Claude API), Rosie AI, Stripe, Google Cloud Platform, Cloudflare, Cal.com, Twilio, and SendGrid.
You acknowledge that:
- Third-party services are governed by their own terms and privacy policies, which you should review
- Vynth is not responsible for the availability, accuracy, or performance of third-party services
- Disruptions to third-party services may affect Platform functionality, and Vynth is not liable for such disruptions
- Your use of third-party integrations may require you to agree to additional terms directly with those providers
13. Intellectual Property
All intellectual property rights in the Platform, including but not limited to software, code, design, trademarks, logos, documentation, and proprietary methodologies, are owned by Vynth LLC and are protected by applicable intellectual property laws.
- You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Platform
- The Vynth name, logo, and all related product names and branding are trademarks of Vynth LLC
- Your use of the Platform does not grant you any ownership rights in our intellectual property
If you provide feedback, suggestions, or feature requests, you grant Vynth a perpetual, royalty-free, worldwide license to use and incorporate such feedback without obligation.
14. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of using the Platform. This includes, but is not limited to:
- Business Brain data and business information you provide
- Platform features, pricing structures, and technical architecture not publicly available
- Customer data processed through the Platform
- Any information marked as confidential by either party
This confidentiality obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive for two (2) years following termination of the agreement.
15. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Vynth does not warrant that:
- The Platform will meet your specific requirements or expectations
- The Platform will be uninterrupted, timely, secure, or error-free
- AI-generated content will be accurate, complete, or reliable
- Any defects in the Platform will be corrected
- The Platform will be compatible with all hardware, software, or network configurations
You use the Platform at your own risk. This disclaimer applies to the fullest extent permitted by applicable law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYNTH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL VYNTH’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO VYNTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
This limitation applies to all claims, whether based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not Vynth has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation of certain damages, so some of these limitations may not apply to you.
17. Indemnification
You agree to indemnify, defend, and hold harmless Vynth LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
- Your use of the Platform or any violation of these Terms
- Content you provide through your Business Brain or any other Platform feature
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Your use of AI voice, SMS, or calling features, including any TCPA or telecommunications law violations
- Any claims brought by your customers or end users arising from their interactions with your Vynth-powered services
- Your failure to comply with applicable laws or regulations in connection with your use of the Platform
18. Termination
a) By You
You may cancel your subscription at any time through the Client Portal or by contacting contact@vynth.ai. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform until the end of the paid period.
b) By Vynth
Vynth may suspend or terminate your account immediately, without prior notice, if you:
- Violate these Terms or any applicable law
- Engage in conduct that is harmful to Vynth, other users, or third parties
- Fail to pay fees when due after reasonable notice and opportunity to cure
- Use the Platform in a manner that poses a security risk or could damage the Platform’s infrastructure
c) Effect of Termination
Upon termination:
- Your access to the Platform will be revoked
- AI agents (chat and voice) deployed on your behalf will be deactivated
- Your Business Brain data will be available for export for 30 days, after which it will be permanently deleted
- Hosted websites will be taken offline unless alternative arrangements are made
- Sections of these Terms that by their nature should survive termination (including but not limited to indemnification, limitation of liability, confidentiality, and dispute resolution) shall survive
19. Dispute Resolution & Governing Law
a) Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.
b) Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in Boone County, Missouri. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
c) Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST VYNTH.
d) Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent irreparable harm.
20. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Vynth regarding your use of the Platform
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect
- Waiver: Vynth’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision
- Assignment: You may not assign or transfer your rights under these Terms without Vynth’s prior written consent. Vynth may assign its rights and obligations without restriction
- Force Majeure: Vynth shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet disruptions, or third-party service failures
- Notices: Notices to you will be sent to the email address associated with your account. Notices to Vynth should be sent to contact@vynth.ai
